# Jurisdiction Notice — Messenger, DEX & related Services

## 1. Default governing law (draft)

Unless Operator publishes otherwise:

- **Governing law:** laws of the **Republic of Panama**  
- **Exclusive venue:** courts of **Panama City, Panama**  
- **Language:** English  

Users outside Panama still must comply with **their local laws** (securities, sanctions, gambling, messaging interception, etc.).

## 2. Why state this explicitly for messenger / DEX

Obsidio’s testnet Operator does **not** claim to be a licensed VASP, bank, or broker-dealer in any jurisdiction.

## 3. Geo / user restrictions (draft policy)

Operator may geo-block or refuse service where required. Without prejudice to local law, users in comprehensively sanctioned jurisdictions (per OFAC / EU / UN lists as updated) must not use the Services.

## 4. Regulatory posture (honest)

- No KYC by default on public testnet RPC  
- Travel-rule / PoI features are **technical stubs / demos**, not a compliance certification  
- If you onboard fiat ramps or custody later, revisit licensing **before** launch  

## 5. Entity checklist (Operator homework)

1. Choose jurisdiction (Panama / BVI / UAE / Estonia / other — counsel-driven)  
2. Form company or foundation; open bank/crypto ops account if needed  
3. Put company legal name + registered address into ToS header  
4. Publish ToS + Privacy URLs in wallet and site footer  
5. Decide: stay “software only / non-custodial” vs operating a matching node that can see FHE settles
